Welcome to Webisarts LLP (“Webisarts”, “we”, “us”, or “our”). Please read these Terms and Conditions carefully before using our development and digital marketing services. By engaging with us and using our services, you agree to these Terms and Conditions.
Payment and Invoicing
Late Fees: Invoices that are overdue by more than one week may be subject to a late fee of 10%-20% of the invoice amount. The exact percentage will be determined at our discretion.
Charges for Cancelled Projects: All clients agree to pay all charges applicable for work done in the event of project cancellation. Such charges may include, but are not limited to, project setup fees, design fees, development fees, and any other costs incurred up to the point of cancellation.
Advance Payment: For all our services, an advance payment is required. The specific amount and payment schedule will be outlined in our project proposal or agreement.
GST and Pricing
Exclusive GST: If applicable, Goods and Services Tax (GST) will be charged separately and is not included in the service cost. Clients are responsible for paying the applicable GST amount in addition to the service fees.
Refunds and Credits
Refunds: Payments made for services are non-refundable once the payment has been processed. However, in special cases, we may offer refunds in the form of credit towards future projects. Refunds will be provided at our discretion.
Intellectual Property
Ownership: Unless otherwise specified in writing, all intellectual property rights, including but not limited to copyrights, trademarks, and patents, arising from the services provided by Webisarts shall be owned by Webisarts.
Client Content: Clients are responsible for providing any necessary content, materials, or assets required for the services. Clients represent and warrant that they have the necessary rights to use and provide such content, and they grant Webisarts a non-exclusive, royalty-free license to use, reproduce, and modify such content solely for the purpose of providing the services.
Confidentiality
Confidential Information: Both parties agree to treat any confidential information shared during the course of the engagement as confidential. This includes but is not limited to proprietary information, trade secrets, and business strategies.
Limitation of Liability
Webisarts shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from the services provided.
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of India.
Modifications to Terms
Webisarts reserves the right to modify, suspend, or terminate these Terms and Conditions at any time, for any reason, without notice. Continued use of our services after any such changes shall constitute your consent to such changes.
